These terms govern your engagement with Mawar Business Consulting. We have written them plainly so you can understand your rights and our responsibilities without needing a lawyer nearby.
Definitions
Throughout these Terms, the following expressions carry the meanings described below:
- "Agreement" โ these Terms & Conditions together with any engagement letter or service proposal you have accepted.
- "We / Us / Our / Mawar" โ Mawar Business Consulting, operating from No. 50, Jalan Dato Keramat, 10150 George Town, Pulau Pinang, Malaysia.
- "You / Client" โ the individual or business entity that engages our services or accesses this website.
- "Services" โ the advisory and consulting engagements offered by Mawar, including Clearer Horizon, Outlook Review, and Horizon Partnership.
- "Content" โ any written materials, reports, session notes, or documents produced or shared as part of a service engagement.
- "Site" โ the website accessible at mawarmy.cyou.
Acceptance of Terms
By visiting the Site, submitting an inquiry, or engaging our services in any capacity, you indicate that you have read, understood, and agreed to be bound by these Terms.
- You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to engage our services.
- If you are acting on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
- If you do not agree with any part of these Terms, you should not use the Site or engage our services.
Service Description
Mawar Business Consulting provides small business advisory services in Malaysia. Our three service engagements are:
Clearer Horizon โ RM 690
A single advisory session to help business owners identify one or two clearer aims. Includes one working session, a written reflection, and a short list of practical next steps.
Outlook Review โ RM 1,650
A four-week engagement covering a business review, two sessions, and a written summary. Aimed at owners seeking an honest, grounded assessment of where they stand.
Horizon Partnership โ RM 3,360
A six-month advisory relationship with monthly sessions, quarterly reviews, and ongoing support for owners who value steady, practical guidance.
Services are delivered primarily in George Town, Penang, with remote options available by arrangement. We reserve the right to decline engagements at our reasonable discretion.
Client Responsibilities
A productive engagement depends on both parties contributing in good faith. As a client, you agree to:
- Provide accurate, complete, and up-to-date information relevant to your business situation.
- Attend scheduled sessions punctually or provide reasonable notice if you need to reschedule.
- Use our advisory outputs for lawful purposes only and in the context for which they were intended.
- Refrain from misrepresenting or sharing our proprietary materials with third parties without prior written consent.
- Not use the Site or our services for any purpose that is deceptive, harmful, or contrary to applicable Malaysian law.
Intellectual Property
All content on this Site โ including text, frameworks, templates, graphics, and methodology โ is the intellectual property of Mawar Business Consulting and is protected under applicable Malaysian copyright and intellectual property law.
- We grant you a limited, personal, non-transferable licence to use materials we produce specifically for your engagement, solely for your own business purposes.
- You may not reproduce, adapt, or distribute our proprietary frameworks or Site content without our prior written permission.
- Any feedback, suggestions, or ideas you share with us may be used by us without obligation or compensation to you.
Payment Terms
All fees are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes. Payment arrangements will be confirmed in your engagement letter. General terms include:
- Clearer Horizon: Full payment required prior to the session date.
- Outlook Review: 50% due upon confirmation; the remainder is due within 7 days of the second session.
- Horizon Partnership: Invoiced monthly. Payment is due within 14 days of each invoice date.
We accept bank transfer and other methods confirmed at the time of engagement. Overdue balances may incur a late charge at our discretion. We do not offer refunds once a session has been delivered, though we will work with you reasonably if circumstances require rescheduling.
Engagement Terms
The following terms apply to how we deliver and manage our service engagements:
- Sessions are scheduled by mutual agreement. We will make reasonable efforts to accommodate your schedule.
- Cancellations with fewer than 48 hours' notice may result in that session being forfeited.
- Scope changes โ such as extending a session or adding a deliverable โ will be discussed and agreed in writing before any additional charges apply.
- For the Horizon Partnership, either party may review continuation at each quarterly review point with 30 days' written notice to adjust or conclude the engagement.
- Sessions may be conducted in person in George Town or via video call by arrangement.
Confidentiality
We treat the information you share in an engagement with care and discretion.
- We will not share your business information with third parties without your consent, except where required by law.
- We may refer to your engagement in aggregate or anonymised form for general professional purposes, without identifying you or your business.
- You agree to keep any proprietary methods, frameworks, or session content we share with you confidential and not to disclose them to competitors or third parties.
Disclaimers
Our advisory services are offered in good faith, but we are not able to give you certain outcomes. Please note:
- Our advice is based on the information you share with us and on general business advisory knowledge. It is not a substitute for legal, financial, accounting, or regulatory advice from a qualified professional in those fields.
- Business outcomes depend on many factors outside our control or knowledge. We do not represent that following our recommendations will lead to specific financial results.
- The Site and its content are provided in good faith but without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by Malaysian law:
- Mawar Business Consulting shall not be liable for indirect, incidental, consequential, or special damages arising from your use of our services or the Site.
- Our total cumulative liability to you for any claim shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim.
- We are not liable for circumstances beyond our reasonable control, including natural disasters, civil disruption, or infrastructure failures.
Indemnification
You agree to indemnify and hold harmless Mawar Business Consulting, its principals, and representatives from and against any claims, losses, or costs โ including reasonable legal fees โ arising from your breach of these Terms, your misuse of our services, or any false or misleading information you have provided to us.
Termination
- By you: You may end an ongoing engagement by providing 14 days' written notice. Fees for completed work will remain payable.
- By us: We may end an engagement with reasonable written notice if you breach these Terms or if the working relationship is no longer constructive. We will refund any prepaid fees for undelivered sessions.
- Survival: Clauses 5 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification) remain in force after the Agreement ends.
Dispute Resolution
We hope any concerns can be resolved with a direct conversation. If a disagreement does arise:
- Please contact us first at [email protected] so we can try to resolve the matter informally within 21 days.
- If informal resolution is not possible, both parties agree to attempt mediation through an agreed mediator before pursuing formal proceedings.
- These Terms are governed by the laws of Malaysia. Any unresolved legal proceedings shall be subject to the jurisdiction of the courts of Penang, Malaysia.
- The Malaysian Consumer Protection Act 1999 and other applicable Malaysian consumer laws continue to apply where relevant.
General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, form the complete agreement between you and Mawar regarding our services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Our failure to enforce a provision at any time does not waive our right to enforce it later.
- Assignment: You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights to a successor in the ordinary course of business.
- Notices: Formal notices to us should be sent to [email protected] or to our registered address.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. If changes are material, we will make reasonable efforts to notify active clients.
Your continued use of our services or Site after updated Terms take effect constitutes your acceptance of those changes. We encourage you to review this page periodically.
